TERMS AND CONDITIONS
Thank for your participation in the Frontier Utilities Refer-A-Friend Program (“Program”) offered by Frontier Utilities, LLC. Your participation in and use of the Program is governed by these Program Terms, and the Frontier Utilities Privacy Policy. Please read them carefully. If you have questions about the Program Terms, or any other policies or terms applicable to your involvement in the Program, please email care@frontierutilities.com.
PROGRAM SUMMARY
Current Frontier Utilities customers who are actively enrolled with Frontier Utilities on a residential postpaid product are eligible to participate in the Frontier Utilities Refer-A-Friend Program. Government accounts, corporations and other businesses or commercial accounts are not eligible to participate. Frontier Utilities will reward both the referring customer and the person receiving a referral request with a one-time bill credit after the referral signs up for Frontier Utilities electric service and meets other requirements as specified below.
HOW IT WORKS
Send your unique referral link from My Account on the My Rewards & Referrals tab. Just enter your friend’s information and click the send email button. Once your friend clicks the link and enrolls on a 12-month or longer post-paid product and pays their first bill in full you’ll receive your one-time $50 bill credit. After your friend pays their first two bills in full, they’ll receive their $50 one-time bill credit for enrolling through the program.
PARTICIPANT ACCEPTANCE; TERMINATION
Frontier Utilities reserves the right to delay, cancel, revoke, or prevent referral credits in any suspected case of fraudulent use or misuse of Frontier Utilities services or this Program. Frontier Utilities will make all determinations regarding participation in the Program. Frontier Utilities reserves the right to terminate your participation in the Program or cancel the entire Program at any time for any reason or no reason, to the extent permitted by law, upon written notice to you. Any written notices required or permitted to be given by Frontier Utilities here under may be delivered by email. By participating in the Program, you consent to delivery of all Program-related notices and information by email to the email address you have registered for your Frontier Utilities account and acknowledge that you have the necessary equipment (hardware and software) to receive and read such emails.
APPROVED REFERRALS; REWARDS
Customer participating in the Program will receive a one-time bill credit for every approved referral they refer to Frontier Utilities. To be designated an approved referral, a person must be a new customer to Frontier Utilities. A new customer is de¬fined as a person or household (1) not currently signed up as a Frontier Utilities customer or (2) a person or household that has not been a Frontier Utilities customer within the previous 90 days prior to this enrollment with Frontier Utilities; (3) satisfy all Frontier Utilities enrollment requirements; (i) successfully sign up online with Frontier Utilities from the personal link generated by the Frontier Utilities Refer-A-Friend Program from your Frontier Utilities My Account (enrollments from personal links not generated through the Program are not eligible for rewards); (ii) pay their first invoice in full. An approved referral customer must successfully enroll with Frontier Utilities via the Refer-A-Friend Program enabled referral request and subsequent enrollment path through FrontierUtilities.com.
Each eligible participant will receive their reward in the form of a one-time bill credit for the approved referrals. The reward amount will be established by Frontier Utilities current offer at the time of the approved referral’s enrollment with Frontier Utilities. The amount Frontier Utilities is offering may be changed by Frontier Utilities at any time prior to enrollment of an approved referral without notice to you or your referrals. The Frontier Utilities Refer-A-Friend Program page will contain up-to-date information regarding Frontier Utilities then current offer. By participating in the Program, you agree that Frontier Utilities shall make the ¬final determination as to whether a person meets all requirements to be considered an approved referral. One-time bills credits have no cash value.
NEW CUSTOMER INCENTIVES
Approved referrals will receive their new customer incentive, should one be offered at the time of their enrollment, via a one-time bill credit after they have met the following requirements:
i. Enrolled via their referral’s unique referral link.
ii. Enrolled on a 12-month or greater postpaid product.
iii. Paid their first two invoices in full.
Each approved referral will receive their reward in the form of a one-time bill credit for their enrollment. The reward amount will be established by Frontier Utilities current offer at the time of the approved referral’s enrollment with Frontier Utilities. The amount Frontier Utilities is offering may be changed by Frontier Utilities at any time prior to enrollment of an approved referral without notice to the approved referral. The Frontier Utilities Refer-A-Friend Program page will contain up-to-date information regarding Frontier Utilities then current offer. By participating in the Program, you agree that Frontier Utilities shall make the ¬final determination as to whether a person meets all requirements to be considered an approved referral. One-time bills credits have no cash value.
PROGRAM USE
Frontier Utilities will provide you with access to the Refer-A-Friend program page, which you may use to refer your friends. Frontier Utilities will update the Program page with your account information periodically. Frontier Utilities is not obligated to, and will not, release to you the reasons why a particular referral has not been deemed a qualified referral.
ENDORSEMENTS AND TESTIMONIALS
If you make an endorsement of Frontier Utilities, you must clearly and conspicuously disclose the fact that you may receive an incentive for each successful referral. This is required under the FTC Guides Concerning the Use of Endorsements and Testimonials in Advertising, and you can be held personally liable for failing to disclose that you may receive an incentive when making an endorsement, or if you make any false statements about Frontier Utilities or its services. The personal links generated by the Program are not transferrable and are intended only for your personal use; you may not allow others to distribute such links on your behalf. You should only refer people whom you know personally. Failure to abide by these requirements may result in immediate termination of your participation in the Program and forfeiture of any of the Program rewards you may have received.
CAN-SPAM ACT COMPLIANCE
Frontier Utilities complies with the federal CAN-SPAM Act and honors requests of consumers and customers who choose to opt out of receiving Frontier Utilities marketing emails. Accordingly, if you designate a referral email address that has previously opted out of receiving Frontier Utilities marketing emails, you may be advised that the email address is not eligible to be sent a Frontier Utilities Refer-A-Friend email.
CONFIDENTIALITY
In connection with your participation in the Program, you may receive confidential and proprietary information of Frontier Utilities, including sensitive customer data (“Information”). You will maintain all such Information in strict confidence and use the Information only in connection with your participation in the Program. Notwithstanding anything to the contrary contained herein, you agree that you will comply with the customer confidentiality provisions set forth in Rule 25.472 of the Public Utility Commission of Texas.
DISPUTES/ERRORS
All questions or disputes regarding the Program including, without limitation, questions or disputes regarding eligibility for the Program or the eligibility of a person or participant for rewards must be submitted in writing to Frontier Utilities within 90 days of the disputed transaction. Any such disputes shall be resolved by Frontier Utilities in its sole discretion. All interpretations of these Program terms shall be at the sole discretion of Frontier Utilities. Frontier Utilities has no responsibility for typographical, printing, or other inadvertent errors in materials or communications relating to the Program.
INDEPENDENT CONTRACTOR RELATIONSHIP
Your participation in the Program does not authorize you to act on Frontier Utilities behalf. Nothing herein is intended or will be construed to constitute or imply a joint venture, employer-employee relationship, partnership or association between you and Frontier Utilities. By participating in the Program, you acknowledge that you do so at your own risk and as an independent contractor and that Frontier Utilities is not directing how you perform your obligations hereunder.
TRADEMARKS
Other than with respect to materials provided to in connection with your participation in the Program, your status as a participant in the Program does not entitle you to use any trademarks, copyrighted materials, patents, names, logos, or other intellectual property owned or licensed by Frontier Utilities.
INDEMNIFICATION
By participating in the Program, you shall hold harmless, defend, and indemnify Frontier Utilities from any and all losses, claims, demands, liability, costs, or expenses, including but not limited to, third party claims, reasonable costs of litigation and attorney's fees which arise out of or relate to (i) any claim of deceptive, fraudulent or misleading claims made by you; and (ii) any breach of the Program terms or your participation in the Program.
WARRANTY DISCLAIMERS; LIMITATION OF LIABILITY
YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. THE PROGRAM IS MADE AVAILABLE TO YOU ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NONE OF FRONTIER UTILITIES, ITS PARENT NOR ANY OF THEIR RESPECTIVE AFFILIATES, THROUGH THESE PROGRAM TERMS, MAKES ANY WARRANTY REGARDING THE PROGRAM, AND EACH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT, SHALL FRONTIER UTILITIES BE LIABLE FOR COMPENSATORY, SPECIAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA AS A RESULT OF CLAIMS, OR HOWEVER CAUSED, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS OR THE PROGRAM, EVEN IF IN NO EVENT, SHALL FRONTIER UTILITIES BE LIABLE FOR COMPENSATORY, SPECIAL, INDIRECT, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA AS A RESULT OF CLAIMS, OR HOWEVER CAUSED, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS OR THE PROGRAM, EVEN IF FRONTIER UTILITIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
AMENDMENTS
These Program terms may be immediately altered, changed, modified, or assigned by Frontier Utilities at any time by providing notice to you. Your continued participation in the Program at any time after Frontier Utilities provides you such notice of changes will constitute your agreement to such changes.
OTHER TERMS AND CONDITIONS
These Program terms are in addition to and do not in any way limit or alter Frontier Utilities terms and conditions or agreements pursuant to which Frontier Utilities allows you to participate in the Program and/or use the Frontier Utilities referral tool.
ACCEPTANCE AND JURISDICTION
By participating in the Program, you agree that you have read, understand, and will abide, and be bound, by these Program Terms. This Program shall be governed in all respects in accordance with the laws of the State of Texas without regard to the conflict or choice of law rules thereof. IN ANY LITIGATION ARISING FROM OR RELATED TO THIS AGREEMENT, THE PARTIES HERETO EACH HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVE THE RIGHT EACH MAY HAVE TO A TRIAL BY JURY WITH RESPECT TO ANY LITIGATION BASED HEREON, OR ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT, OR ANY COURSE OF CONDUCT, COURSE OF DEALING, STATEMENTS (WHETHER ORAL OR WRITTEN) OR ACTIONS OF EITHER PARTY TO THIS AGREEMENT. THIS PROVISION IS A MATERIAL INDUCEMENT FOR THE PARTIES TO ENTER INTO THIS AGREEMENT.
You further acknowledge and agree that any dispute or claim resulting from your participation in the Program shall be subject to the exclusive jurisdiction of the state and federal courts located in Harris County, Texas. You hereby submit to the exclusive jurisdiction of such courts with regard to any such dispute or claim, and waive any and all objections to the exclusive jurisdiction of such courts. If any provision of these Program Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. These Program Terms constitute the entire agreement between Frontier Utilities and you with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals, and communications, whether written or oral. You may not assign your obligations or rights under these Program Terms. You agree that regardless of any statute or law to the contrary, any claim or cause of action that you may have arising out of or related to the Program must be filed by you within one (1) year after such claim or cause of action arose or be forever barred.
GENERAL
You may not assign the right to participate in the Program to any other party. Frontier Utilities may assign these Program Terms or assign or delegate any of its rights or responsibilities hereunder to independent contractors or other third parties. Frontier Utilities shall not be deemed to have waived any of its rights or remedies hereunder unless such waiver is in writing and executed by an authorized representative of Frontier Utilities. No delay or omission by Frontier Utilities in exercising any rights or remedies shall operate as a waiver of such rights or remedies or any other rights or remedies. A waiver on one occasion shall not be construed as a bar or waiver of any rights or remedies on future occasions.
